The composition of the company's board of directors is based on Article 20 of the "Corporate Governance Best Practice Principles" and Article 3 of the "Procedure for Election Directors" and considers the diversity of board members from multiple aspects. The company has a total of 7 directors (including 3 independent directors), with the age range ranging from 31 to 80 years old. The company advocates and respects the policy of director diversity. In order to strengthen corporate governance and promote the sound development of the composition and structure of the board of directors, we believe that the diversity policy will help improve the company's overall performance. Board members are selected based on the principle of meritocracy and have diverse and complementary capabilities across industries, including basic conditions and values, such as gender and age. They also have industry experience and professional abilities, such as business judgment, financial accounting, Operation management, crisis management capabilities, industrial knowledge, international market outlook, leadership and decision-making abilities.

The company has a total of 7 directors, including 3 independent directors, accounting for 43% of the total seats. An audit committee has been set up to replace the supervisor in accordance with the law. There is no relationship between the directors beyond spouses and relatives within the second degree. Key member of operation team is listed in the candidate of board of directors, establish the ability of strategy development and familiar with the operation of the board then to be the member of board after assessment.

Key operational manager

The succession planning of Key operational manager focus on talent development and explore potential employee with training program and unimpeded promotion chance, in order to meet future management level succession.

We encourage employee to have internal and external training to enhance the capability.

The manager follow operation organization to settle high and middle level manager. Middle level manager is the position substitute of high level manager to enhance the ability. We implement performance appraisal every 6 months through working observation and discussion of job function to select the successor.

To ensure company fast development, we will hire high level manager or explore potential middle level manager through job rotation or stationed abroad appropriately to strengthen operation team.
